By creating an account or using ClinicalOps ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and ClinicalOps ("we," "us," or "our").
By checking the acceptance box during registration, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. We record the date and version of the Terms you accepted.
ClinicalOps is designed exclusively for use by licensed healthcare providers including physicians (MD/DO), nurse practitioners (NP), physician assistants (PA), certified registered nurse anesthetists (CRNA), and other credentialed medical professionals, as well as supervised medical trainees (residents, students) under appropriate oversight.
You represent that you are a licensed healthcare professional or authorized trainee and that your use of this Service complies with all applicable professional, legal, and regulatory requirements in your jurisdiction.
You may not use ClinicalOps for any purpose other than documenting clinical encounters for patients you are authorized to treat.

ClinicalOps uses artificial intelligence to assist with clinical documentation. All AI-generated content — including clinical notes, billing codes, diagnoses, medication suggestions, and care plans — is a documentation aid only and is not a substitute for professional medical judgment.
You, as the treating provider, bear full and exclusive responsibility for:
ClinicalOps does not practice medicine and its outputs do not constitute medical advice. Never rely solely on AI-generated content for clinical decision-making.
You acknowledge that patient encounters may include Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA") and applicable state privacy laws.
You are responsible for ensuring your use of ClinicalOps complies with HIPAA and all applicable privacy regulations, including obtaining appropriate patient consents where required and ensuring the Service is used only in compliance with your organization's HIPAA policies.
ClinicalOps processes audio and transcript data for the purpose of generating clinical notes. Please review our Privacy Policy for details on how this data is handled, stored, and processed.

ClinicalOps and its technology, design, and content are owned by us and protected by applicable intellectual property laws. You retain ownership of the clinical notes and documentation you create using the Service. By using the Service, you grant us a limited license to process your inputs solely to provide the Service to you.
To the maximum extent permitted by law, ClinicalOps and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
Our total liability for any claim arising from use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account by contacting us. Upon termination, your right to use the Service ceases immediately.
We may update these Terms from time to time. We will notify you of material changes by email or by requiring re-acceptance upon login. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction.
